Payment Conditions

• Invoice 1: 60% deposit upon signing of the quote

The BRUNO agency remains the owner of the source files (Figma, Github, access to the CMS) until the last payment is received.

Late Payment

Law n°92/1442 of December 31, 1992 obliges us to inform you that non-compliance with payment conditions incurs late fees according to the terms and minimum rate defined by law. "In accordance with law n°2012-387 of March 22, 2012; The flat-rate compensation for recovery costs owed to the creditor in case of delay is €40 per day".

Intellectual Property

This transfer of rights is granted for the whole world, and for the entire legal duration of protection of intellectual and industrial property rights. The communication and use of graphic creations are subject to the provisions of the Intellectual Property Code. Any use not provided for in this transfer must be subject to a new transfer calculated based on the applicable rates.

Applicable Law and Competent Jurisdiction

This contract is governed by French law. In case of difficulty regarding the validity, interpretation, execution, or termination of this contract, the parties will attempt to resolve their dispute amicably. In case of persistent disagreement, the Commercial Court of Rouen will be seized by the most diligent party, including in the case of a warranty claim or multiple defendants. In case of a dispute arising between the parties for which specialized jurisdictions are only competent, the competent jurisdiction will be the one designated for disputes under the jurisdiction of the Court of Appeal of Rouen, even in case of a warranty claim or multiple defendants. This clause shall prevail over any contradictory clause and shall also apply in the event of summary proceedings.
